Terms of Service

By accessing or using the BankOps.ai platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

BankOps.ai is a cloud-based software-as-a-service platform that enables users to create, edit, and export presentation decks using AI-assisted tools. The Service includes AI agents, a web-based editor, design system management, template libraries, and PPTX export capabilities.

You must provide accurate and complete registration information and keep your account credentials secure. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

The Service is offered under multiple subscription tiers, including free trial, professional, and enterprise plans. Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as expressly stated in an enterprise agreement.

We reserve the right to modify pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit malware, viruses, or other harmful code.
• Resell, sublicense, or redistribute access to the Service without written authorization.
• Use automated means to scrape, extract, or collect data from the Service beyond its intended API.

The Service, including all software, algorithms, models, designs, documentation, and trademarks, is the exclusive property of BankOps.ai and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

You retain all rights to content you create using the Service. We do not claim ownership of your presentations, templates, or other user-generated content.

You retain ownership of all data and content you upload to or create with the Service ("Your Data"). You grant BankOps.ai a limited, non-exclusive license to process Your Data solely to provide and improve the Service.

We will not sell Your Data to third parties. We may use aggregated, anonymized data for analytics and service improvement purposes. Our handling of personal data is governed by our Privacy Policy.

The Service uses artificial intelligence to generate content, including text, layouts, charts, and slide designs. AI-generated content may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing, verifying, and approving all AI-generated content before use. BankOps.ai is not liable for any decisions made or actions taken based on AI-generated content.

Each party agrees to maintain the confidentiality of the other party's confidential information and to use it only for purposes related to these Terms. Confidential information does not include information that is publicly available, independently developed, or lawfully received from a third party without restriction.

For paid subscription accounts, BankOps.ai targets 99.9% monthly uptime, excluding scheduled maintenance windows. Specific SLA terms, including service credits for downtime, are defined in the applicable enterprise agreement. In the absence of an enterprise agreement, no SLA applies.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BANKOPS.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

BANKOPS.AI'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO BANKOPS.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless BankOps.ai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

These Terms are effective until terminated. You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time for cause, including breach of these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination of paid accounts, after which it may be permanently deleted. Sections 7, 8, 10, 12, 13, 15, and 16 survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

• Entire Agreement. These Terms, together with the Privacy Policy and any applicable enterprise agreement, constitute the entire agreement between you and BankOps.ai regarding the Service.
• Amendments. We may modify these Terms at any time by posting the updated version on our website. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
• Force Majeure. BankOps.ai shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of government, pandemics, or internet outages.
